Due diligence across 16 countries for a global industrial manufacturer
Challenge
In support of a confidential acquisition, a global industrial manufacturing business based in the United States needed an EHS advisor to identify and quantify EHS risks associated with the target, a complimentary industrial manufacturing business within a diligence window of approximately 30-days. The target had over 75 active, international manufacturing facilities. As part of the project scope, the buyer wanted to better understand:
• Current EHS compliance requirements of the portfolio
• Operational permitting requirements
• Subsurface risks and liabilities
• Environmental concerns with infrastructure
• PFAS risks
Inogen Solution
Inogen Alliance, supported by its Associates and led by Antea Group USA, engaged due diligence and compliance experts located in 16 countries to execute select site visits and conduct desktop environmental assessments. The team identified areas of potential environmental concern and general trending of EHS issues based on the limited site visits, and compiled and quantified the concerns for the entire portfolio. Based on the findings, Antea Group was able to provide the client with a comprehensive workbook of high-level potential environmental liabilities with estimated costs for corrective actions and risk mitigation within the diligence window.
Client Benefits
Inogen Alliance, under Antea Group leadership, coordinated the project through a single, central contact to maximize efficient client communication and management for this diverse portfolio of international manufacturing operations. The client was able to account for significant estimated environmental liabilities as part of the deal negotiations and plan for post-acquisition investigations and corrective actions.
